Board of Directors Information

Background
91X (CJLXFM) is an incorporated not-for-profit organization. It's not owned by the college, nor by any one individual. Instead, it is controlled by an independent Board of Directors.This board consists of 12 regular members:
-7 are students elected each spring for a one-year term.
-2 faculty/staff reps, elected for two-year terms.
-3 reps from the community at large, appointed for three-year terms.
There are also 3 ex-officio (non-voting) members on the Board: the President of the college, the Dean of Media Studies and the CJLX Station Manager.

Duties of the Board of Directors
The Board oversees the "business" end of running 91X and the corporation. This would include setting budgets, major policies, overseeing employees (such as station management and sales coordinator).
While most of the day-to-day business and operations are handled by station management, the Board has ultimate control on the direction the station takes, from a business stance. The station management reports to, and often receives direction from, the Board.

Meetings
The Board usually holds seven meetings over the course of the academic year: April, September, October, November, January, February and March. The Board may call additional meetings if there is an important issue that needs attention. Meetings generally take place the third Monday or Wednesday of the month, from 12:00 noon to about 1:30pm.

Executive positions on the board
There are four executive positions on the 12-member board. At the first meeting for the new student members in April, the Board collectively determines who will serve as: President, Vice-President, Secretary and Treasurer.
Here's a brief description of each position:
President: Chairs each meeting. Charged with running the meetings in an efficient and orderly manner. The President has the authority to call additional meetings should they be required.
Vice-President: Assumes the above duties should the President not be able to fulfill his/her role because of absence. Can act as an assistant to the President for other duties the President may wish to delegate.
Secretary: Takes detailed minutes during each Board meeting, making sure to record all motions presented, who made the motion, who seconded, and the results of any vote. Also distributes minutes and agendas to Board members.
Treasurer: Presents updated financial statements at the Board meetings. While station management takes care of the day-to-day accounting and bookkeeping, the Treasurer should have a good understanding of the corporation's finances, including sources of revenue and expenditures. However, it's not necessary to have extensive accounting skills to hold this position.

Board membership eligibility:
Student members of the Board must:
-be intending to return as a full-time student at Loyalist College in the fall of next academic year.
-be a Canadian citizen.
NOTE: ANY student of Loyalist College, who qualifies for the above, is able to seek a position on the Board. It's not restricted to Radio and Broadcast Journalism students.
Faculty/staff members of the Board must:
-be employed by Loyalist College as full-time faculty or support staff.
-be a Canadian citizen.

Election Process:
There are two steps to becoming a Board member: Nomination and the Election. Nominations open Monday, February 22, and will close at 4pm, Friday, March 12, 2010. During this time a nomination form must be submitted to the station manager's office. The form must be completely filled out, including the name and signatures of the person making the nomination, a seconder to that nomination, and your signature. (Nomination forms are available across from the station manager's office, room 2N2F, Kente Building, Loyalist College).
Assuming there are more than seven student nominations by March 12th, an election will take place Wednesday. March 17, 2010. On that day, a poll will be set up in cafeteria of the Kente Building between 10:00am and 3:00pm. ANY full-time student of the college may vote (student number must be presented at the poll in order to vote). The top seven candidates with the most votes will sit as the new student Board members.
Should there be more than one nomination for the faculty/staff posiiton, an election will be held concurrently, where full-time faculty and staff at Loyalist may vote for this position.

First Meeting:
New members are required to attend the regular Board meeting, Monday, March 22, 2010 to observe the proceedings. This is the last meeting for the current student members and it will give newly elected members a good sense of how meetings are structured. New members will assume their positions at the April 19, 2010 meeting. It's at this meeting when the four executive positions will be determined.
